The Triangle SAFE: one-page overview

What a SAFE is, why The Triangle uses it, the key terms and who can invest. One page for founders and investors.

What is a SAFE?

A Simple Agreement for Future Equity (SAFE) is a fast, founder-friendly way for startups to raise early capital. It is not debt. Investors receive the right to convert their investment into equity at a future priced round, usually at a discount or under a valuation cap.

Why The Triangle uses SAFEs

  • Speed and low cost compared with convertible notes or priced rounds
  • No interest, no maturity date, and no repayment obligation
  • Market-standard Triangle Combinator post-money form
  • New York governing law and WTC headquarters for credibility with global investors

Key terms (typical)

Valuation Cap
Sets the maximum company valuation used to calculate conversion price.
Discount (optional)
Investor converts at a percentage below the price paid by new investors.
Conversion
Automatically converts into preferred stock in the next qualifying equity round.
Pro Rata Rights (optional side letter)
Right to invest in future rounds to maintain ownership percentage.

Who can invest

Accredited investors only (under U.S. securities rules). International investors are welcome subject to applicable exemptions.
